1. Acceptance of Terms

By accessing or using Bibike ERP ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including organizations and their employees or agents.

2. Description of Service

Bibike provides cloud-based enterprise resource planning (ERP) software designed for small and medium enterprises, starting in East Africa and expanding globally. The Service includes inventory management, sales tracking, purchasing, accounting, human resources, customer relationship management, and related business tools.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

4.1 Pricing: The Service is offered under various subscription tiers with different features and pricing. Current pricing is available on our website.

4.2 Billing: Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees due.

4.3 Refunds: Subscription fees are non-refundable except as required by law or as specified in our refund policy.

4.4 Price Changes: We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service for fraudulent or illegal activities
  • Resell or redistribute the Service without authorization
  • Scrape, harvest, or collect data from the Service without permission

6. Your Data

6.1 Ownership: You retain all rights to the data you enter into the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 License: You grant us a limited license to use, store, and process Your Data solely to provide the Service to you.

6.3 Backup: While we maintain backups, you are responsible for maintaining your own copies of critical data.

6.4 Data Export: You may export Your Data at any time through the Service's export features.

7. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Bibike and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without written permission.

8. Third-Party Integrations

The Service may integrate with third-party services (payment processors, tax authorities, etc.). Your use of such integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services.

8.5 AI-Powered Features

The Service includes optional AI-powered features such as a chat assistant, smart categorization, OCR receipt scanning, natural language reports, and automated suggestions. By using these features, you acknowledge and agree to the following:

  • AI Outputs Are Suggestions Only: All AI-generated content, including categorizations, financial summaries, forecasts, and recommendations, are provided as informational suggestions only. They do not constitute professional, financial, legal, or accounting advice. You are solely responsible for reviewing and verifying all AI outputs before acting on them.
  • Third-Party AI Processing: To provide AI features, your queries and relevant business context are sent to third-party AI providers (including Anthropic, OpenAI, Google, Groq, and OpenRouter) for processing. See our Privacy Policy for details on which providers receive your data and how it is handled.
  • Confidence Levels: AI responses include a confidence indicator (high, medium, or low). Low-confidence outputs require your explicit approval before any action is taken. Medium-confidence outputs are flagged for your review. You should always exercise your own judgment regardless of the stated confidence level.
  • Right to Disable: You may disable AI features at any time through your organization settings. Disabling AI does not affect access to other Service features. Some subscription tiers may have AI features disabled by default.
  • AI Action Limits: AI features are subject to usage limits based on your subscription tier. Usage beyond your allotted actions may incur additional charges or be temporarily restricted until your next billing cycle.
  • Bring Your Own Key (BYOK): Professional and Enterprise customers may use their own API keys to access AI providers directly. When using BYOK, your data is sent directly to the provider under your own agreement with that provider. You are responsible for compliance with the provider's terms and any associated costs. We are not liable for data handling by providers accessed through your own keys.
  • No Guarantee of Accuracy: AI features rely on machine learning models that may produce incorrect, incomplete, or outdated outputs. We do not guarantee the accuracy, reliability, or completeness of any AI-generated content. Critical business decisions should not be based solely on AI outputs.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We are not liable for any downtime or service interruptions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR MEET YOUR SPECIFIC REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIBIKE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Bibike and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

13.1 By You: You may cancel your subscription at any time through your account settings. Your access continues until the end of your billing period.

13.2 By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days' notice.

13.3 Effect: Upon termination, your right to use the Service ends. You may export Your Data within 30 days of termination.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of Rwanda. Any disputes shall be resolved in the courts of Kigali, Rwanda, unless otherwise required by applicable consumer protection laws.
